1. Introduction and acceptance

These Terms & Conditions ("Terms") are a binding agreement between Workzish ("Workzish", "we", "us") and the gym, club, academy or other facility operator that signs up for or uses our services ("Customer", "you"). They apply to workzish.com, the Workzish management platform and portal, the Member App and member web app, messaging and notification features, integrations, custom development and any related services (together, the "Services").

By creating an account, accepting an order, paying an invoice or using the Services you confirm that you have authority to bind your business and that you accept these Terms. If you do not agree, do not use the Services. Where you and Workzish sign a separate written agreement or order form, it prevails over these Terms to the extent of any conflict.

2. Definitions

  • Location: a single gym, club, branch or facility set up as a separate site in the Services.
  • Module: a feature set that can be enabled for a Location, such as memberships, bookings, classes, access control, accounting, payroll, point of sale, marketing automation or the Member App.
  • Subscription: your right to use the Services for the Locations, Modules and period stated on your plan, order or invoice.
  • Customer Data: data that you or your users enter into the Services, including data about your members, staff, classes, payments and operations.
  • Members: your members, clients, guests and other end users whose data you manage in the Services.
  • Order: a plan selection, quote, order form, invoice or written confirmation that sets out what you are buying and the fees.
  • Custom Development: work Workzish performs to build features, integrations, reports or changes that are not part of the standard product.

3. The Services

Workzish provides cloud software for managing memberships, billing and dues, bookings and classes, attendance and access control, staff and payroll, accounting and reporting, member communication and a branded member app. The Modules and limits available to you depend on your Subscription.

The Services evolve. We may add, change or retire features and may update the platform, interfaces and integrations to improve security, performance or compliance. We will not remove a core paid Module you rely on without reasonable notice and, where we cannot provide a comparable replacement, a fair adjustment of fees.

4. Accounts and users

  • You must give accurate, current information and keep it up to date.
  • You are responsible for all activity under your account, including your staff, coaches and any other users you authorise, and for setting appropriate roles and permissions.
  • Keep login credentials confidential and tell us at once at support@workzish.com if you suspect unauthorised access.
  • Staff accounts are for named individuals and must not be shared.

5. Subscriptions, plans and fees

  • Pricing. Fees are per Location and per Module, or as otherwise stated in your Order or on our pricing page at the time you subscribe. Volume pricing may apply as shown on the pricing page or in your Order.
  • Currency. Fees are charged in the currency stated in your Order (for example PKR or USD). Where payment is made in a different currency, you bear the exchange and bank charges.
  • Billing in advance. Unless your Order says otherwise, Subscriptions are billed in advance for the selected period (monthly, quarterly or annual) and are due on the invoice date or by the due date shown on the invoice.
  • Add-ons and changes. Adding Locations or Modules during a term is charged from the date they are activated, pro-rated to the end of your current period. Reducing Locations or Modules takes effect from the next renewal.
  • Taxes. Fees exclude applicable taxes, duties and levies such as VAT, GST, sales tax and withholding tax, which you are responsible for. If you are required to withhold tax, you must gross up the payment so that Workzish receives the full invoiced amount, unless the law prevents this and you provide a valid tax certificate.
  • Price changes. We may change our prices for future periods by giving you at least 30 days' written notice before your next renewal. Price changes do not apply to a period already paid for.
  • Third-party and usage charges. Charges made by third parties for things such as WhatsApp conversations, SMS, payment gateway fees, app-store accounts and hardware are not included in the Subscription unless stated, and are your responsibility.

6. Discounts, promotions and offers

  • Discounts, promotional pricing and introductory offers (for example "new client" or annual-payment discounts) apply only as described in the offer, to the products, Locations and period stated.
  • Unless the offer says otherwise, an offer is for new customers only, cannot be combined with another offer, has no cash value, and is not applied retroactively to invoices already issued or paid.
  • A discount applies to the term it was granted for. On renewal, fees revert to the then-current list price unless your Order states a locked-in renewal price.
  • Volume discounts are based on the number of Locations and Modules in your Order. If you reduce Locations or Modules, the applicable discount may be recalculated at the next renewal.
  • If a discount is obtained through misrepresentation, or its conditions (such as payment by a stated date) are not met, we may withdraw it and invoice the difference.
  • We may withdraw or change offers at any time for future Orders.

7. Payment, non-payment and Location deactivation

Your Subscription is paid in advance, so the service for each Location depends on payment being received by the due date shown on the invoice.

  • Deactivation on non-payment. If an invoice is not paid in full by its due date, the affected Location is deactivated immediately once the due date has passed. There is no grace period unless one is stated in your Order. We may send payment reminders before the due date as a courtesy, but we are not required to, and deactivation does not depend on a reminder.
  • What deactivation means. Staff and Member access, the Member App, messaging and notifications, and access-control integrations for that Location stop working. Deactivation is for non-payment only; it is not a deletion of your data.
  • Data after deactivation. Your Customer Data for a deactivated Location is retained for 30 days so that you can pay and restore it or request an export. After that period it may be deleted in line with our Privacy Policy.
  • Reactivation. On payment of all overdue amounts (and any fees for the period until reactivation) we will restore access to the Location, usually within one business day.
  • Collection. You remain liable for all fees due, including for the period of any deactivation, and for reasonable costs of collection where permitted by law. We do not charge interest or late-payment penalties on overdue amounts.

Disputed charges must be raised in writing at support@workzish.com before the due date, or within 30 days of the invoice date at the latest. Undisputed portions remain payable on time. Deactivation under this section does not relieve you of fees for the period concerned.

8. Refunds and cancellation

  • Money-back guarantee. A new customer may cancel and request a full refund of the first Subscription payment within 30 days of that payment, provided the request is made in writing. This applies once per customer and does not cover third-party charges, custom development or hardware.
  • After the guarantee period. Fees already paid are non-refundable, including for unused time, except where required by law or where we terminate for convenience.
  • Cancelling renewal. You may cancel at any time by written notice. Cancellation takes effect at the end of the paid period; you keep access until then. To avoid being charged for the next period, give notice at least 7 days before renewal.

9. Term, renewal and termination

  • Term. Your Subscription starts on activation and runs for the period in your Order.
  • Auto-renewal. Unless you cancel as described above, Subscriptions renew automatically for successive periods of the same length at the then-current fees.
  • Termination for cause. Either party may terminate on written notice if the other materially breaches these Terms and does not remedy the breach within 14 days of notice, or immediately on the other party's insolvency. We may suspend or terminate immediately if you breach the acceptable use rules, put the Services or other customers at risk, or where required by law or by a third-party provider such as Meta.
  • Effect of termination. Your right to use the Services ends and unpaid fees become immediately due. For 30 days after termination you may request an export of your Customer Data in a standard format; after that we may delete it. Provisions that by nature should survive, such as fees, intellectual property, confidentiality, liability and governing law, continue.

10. Custom feature development

  • Separate scope. Custom Development is agreed in a written quote or statement of work that sets out scope, deliverables, fees, payment milestones and estimated timelines. Work not in the agreed scope is a change request and may change fees and timelines.
  • Fees and payment. Custom Development is charged as quoted and is generally payable in advance or by milestones. Fees paid for work already performed are non-refundable.
  • Your input. Timelines depend on you providing requirements, content, access, decisions and feedback on time. Delays on your side may extend the timeline and the fees.
  • Acceptance. You will review each deliverable promptly. A deliverable is accepted when you approve it, or when you start using it in production, or after 7 days without written notice of a material defect against the agreed scope.
  • Ownership. Unless the written scope states otherwise, Workzish owns all intellectual property in custom features and may make them part of the standard product for all customers. You receive a non-exclusive right to use them for as long as you hold a paid Subscription. Exclusive or white-label ownership can be agreed in writing and priced accordingly. We will not disclose your confidential information or Customer Data when we generalise a feature.
  • Maintenance. Custom features are supported and maintained as part of the Services while you hold a paid Subscription, unless the scope states otherwise. We may adapt them as the platform changes.
  • Third-party dependencies. Custom work that depends on third-party systems, hardware or APIs is subject to those parties' availability and terms, and we are not liable for changes they make.

11. Messaging, notifications and member communication

  • The Services can send messages to your Members by WhatsApp, SMS, email, push and in-app notifications. You decide what is sent and to whom. As the sender and data controller you are responsible for having a lawful basis and any required consent, and for honouring opt-out requests.
  • WhatsApp messaging uses the WhatsApp Business Platform provided by Meta and is subject to Meta's terms and policies, including template approval, messaging limits and quality ratings. Meta may reject templates, restrict or suspend a number, and change its pricing. We do not control those decisions and are not liable for them.
  • You must not send unsolicited, deceptive, unlawful or abusive messages. We may suspend messaging for a Location if needed to protect our sending reputation or comply with a provider's rules.
  • Delivery depends on carriers, networks and recipients' devices and is not guaranteed.

12. Payments, hardware and third-party integrations

  • Payments. Workzish is not a bank, payment institution or payment processor. Online payments are processed by third-party gateways under your own agreement with them, and you are responsible for their fees, settlements, chargebacks and compliance.
  • Hardware and access control. Door controllers, biometric and other devices are supplied and installed by you or your vendors. You are responsible for compatibility, installation, network connectivity and maintenance, and for lawful use of biometric or face data.
  • Member App. If you use a branded Member App, you are responsible for the content, branding and any app-store accounts and fees involved, and for complying with app-store rules.
  • Third-party services. Third-party services are governed by their own terms. We are not responsible for their availability, performance, pricing changes or actions.

13. Customer Data, privacy and security

  • Ownership. You own your Customer Data. You give Workzish a worldwide, limited licence to host, process, back up and transmit it to provide and support the Services and as described in these Terms and the Privacy Policy.
  • Roles. For Member and staff data, you are the data controller and Workzish is your data processor. You are responsible for the lawfulness of the data you collect and for informing your Members about how their data is used.
  • Security. We use reasonable technical and organisational measures, including access controls, encrypted connections and regular backups, to protect Customer Data. No system is completely secure.
  • Incidents. If we become aware of a breach affecting your Customer Data we will notify you without undue delay and give reasonable information to help you meet your obligations.
  • Sub-processors and transfers. We use trusted providers for hosting, messaging and similar functions and may process data in other countries, applying appropriate safeguards.
  • Requests. We will help you respond to Member requests to access, correct or delete data, and will refer such requests to you if they reach us.
  • Usage data. We may use aggregated, de-identified usage data to operate, secure and improve the Services.

14. Acceptable use

You must not, and must not allow others to:

  • break the law or infringe others' rights through the Services;
  • attempt to gain unauthorised access, probe or test security, or interfere with the Services or other customers;
  • copy, resell, sublicense, reverse engineer or build a competing product from the Services;
  • upload malware or unlawful, abusive, defamatory or infringing content;
  • use the Services to send spam or harvest data without consent;
  • use automated means to access the Services except through documented interfaces.

15. Support and availability

  • Support is provided by email at support@workzish.com and through the channels we publish, during our stated support hours. Response times are targets, not guarantees, unless a written service level agreement says otherwise.
  • We aim to keep the Services available and use commercially reasonable efforts to schedule maintenance outside peak hours. We do not guarantee uninterrupted or error-free operation, and availability may be affected by events outside our control, including third-party outages.
  • Training, onboarding, data migration and on-site services are provided as agreed in your Order and may be charged separately.

16. Intellectual property

Workzish and its licensors own all rights in the Services, including software, designs, documentation, trademarks and know-how. We grant you a limited, non-exclusive, non-transferable right to use the Services for your own business during your Subscription. Your logos and brand assets remain yours, and you grant us a right to display them as needed to provide the Services. Feedback you give us may be used freely by us without obligation.

17. Warranties and disclaimer

Each party confirms it has authority to enter into these Terms. Except as stated, the Services are provided "as is" and "as available", and to the extent permitted by law Workzish disclaims all other warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will meet all your requirements, that results will be error-free, or that they replace your own legal, tax, financial or compliance obligations. You are responsible for checking the accuracy of financial, payroll and reporting outputs against your own records.

18. Exclusion of liability and indemnity

  • No liability. To the maximum extent permitted by applicable law, Workzish, its owners, directors, employees and partners accept no liability to you or to any third party, including your Members and staff, for any loss, damage, cost or claim of any kind arising out of or in connection with the Services, these Terms or any Custom Development, whether in contract, tort (including negligence), statute or otherwise. This includes loss of profit, revenue, business, goodwill or data, service interruption, errors in reports, calculations or payroll, failed or delayed messages, and the acts or omissions of third-party providers.
  • Your responsibility. You use the Services at your own risk and are responsible for your own decisions, for verifying outputs against your own records, and for keeping your own copies of data that matters to you.
  • Remedy. Where liability cannot lawfully be excluded, it is limited to the fees you paid for the Services in the 12 months before the event giving rise to the claim, and your sole remedy is the correction of the issue or a refund of fees for the affected period, at our option.
  • Not excluded by law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
  • Indemnity from you. You will defend and indemnify Workzish against third-party claims arising from your Customer Data, your messaging, your breach of these Terms or your violation of law.

19. Confidentiality

Each party will keep the other's non-public business, technical and pricing information confidential, use it only to perform or receive the Services, and protect it with reasonable care. This does not apply to information that is public through no fault of the recipient, already known or independently developed, or lawfully required to be disclosed (with notice where permitted).

20. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government action, power or internet outages, failures of third-party providers or pandemics. This does not excuse payment obligations for Services already provided.

21. International customers and compliance

  • You are responsible for complying with the laws that apply to your business and Members in your country, including data-protection, consumer, tax, employment and messaging laws.
  • You must not use the Services in violation of applicable export controls or sanctions, or from or for any person or entity subject to them.
  • These Terms and our communications are in English. If translated, the English version prevails.

22. Governing law and disputes

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law rules. The parties will first try to resolve any dispute in good faith by written notice and discussion for 30 days. Unresolved disputes are subject to the exclusive jurisdiction of the competent courts of Pakistan, except that either party may seek urgent injunctive relief in any competent court. Where mandatory consumer or data-protection law in your country gives you rights that cannot be waived, those rights are not affected.

23. General

  • Changes to these Terms. We may update these Terms. For material changes we will give at least 30 days' notice by email or in the Services. Continued use after the effective date means you accept the update; if you do not agree, you may cancel before it takes effect.
  • Notices. We may notify you by email or in the Services. You may notify us at support@workzish.com.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganisation or sale of our business.
  • Entire agreement. These Terms, your Orders and the Privacy Policy are the whole agreement and replace earlier discussions on the same subject.
  • Severability and waiver. If a provision is unenforceable, the rest remains in effect. Failure to enforce a right is not a waiver of it.
  • Relationship. The parties are independent contractors. Nothing creates a partnership, agency or employment relationship.
